10px;"></p><p style="margin-bottom: 10px;">&nbsp;<strong>UseePay服务协议</strong></p><p style="margin-bottom: 10px;">在您成为UseePay（Useepay系国际信用卡网络支付服务提供商，愿意并有能力为贵司提供国际信用卡网络支付结算及相关服务）注册用户之前，请确认您已充分阅读、理解并接受本协议的全部内容，同意遵循本协议的所有约定。如您不同意本服务协议或随时对其的补充和修改，您可以主动停止；您一旦使用，即视为您已了解并完全同意本服务协议各项内容，包括UseePay及国际卡组织对本协议条款随时所做的任何补充和修改。</p><p style="margin-bottom: 10px;">本《Useepay服务协议》，又名《Useepay海外支付服务协议》。在本协议范围内，您应是具备完全民事行为能力的独立法律主体，系协议的甲方；UseePay，法律主体为香港海泰付科技有限公司（Useepay Limited），系该协议的乙方。</p><p style="margin-bottom: 10px;">乙方作为国际银行卡支付及海外本地支付网络的集成服务商，为甲方提供支付网络服务及相关服务。甲方作为本协议下所定义商户，同意在其业务中使用乙方所提供的支付网络服务。双方在平等互利的基础上，依照有关法律法规的规定，就国际银行卡收单及海外本地化支付网络服务达成如下约定：</p><p style="margin-bottom: 10px;"><strong>一、 定义及说明</strong></p><p style="margin-bottom: 10px;">1.1. 国际卡组织：包括但不限于Visa、MasterCard、American Express、Dinner、Discover和JCB等卡组织。</p><p style="margin-bottom: 10px;">1.2. 全球本地支付：是一种符合当地人支付习惯的本地支付方式，包括但不限于本地化电子钱包、本地化银行转账及其他本地化支付方式等。</p><p style="margin-bottom: 10px;">1.3. 商户：在乙方支付网络中注册且由甲方实际控制其交易并直接向客户提供商品或服务的企业或其他组织。</p><p style="margin-bottom: 10px;">1.4. 异常交易：甲方或甲方客户在使用本协议项下乙方提供的支付网络服务时，违反经营或服务所在地的法律法规或本协议约定的禁止行为，包括但不限于洗钱、诈骗、涉黄、涉赌、涉毒、传销、盗卡、伪卡、信用卡套现、无真实交易背景或与真实交易背景不相符的资金往来行为，以及持卡人否认交易或发卡行拒付资金的支付交易行为；同时还包括甲方、甲方客户、相关部门或单位以及其他第三方向乙方反映可能存有上述情形的行为，或甲方遭客户投诉对乙方造成不利影响或资金损失，或被相关监管政府部门和国际卡组织、收单银行等调查、罚款的交易行为。</p><p style="margin-bottom: 10px;">1.5. 拒付：一般在交易完成后的180天内，持卡人随时可以向发卡行提出异议并拒绝支付银行卡账单（Chargeback，简称CB）。由于卡组织、收单机构处理拒付需要一定周期，且发卡行倾向于保护持卡人利益，因此存在超过180天的拒付。</p><p style="margin-bottom: 10px;">1.6. 拒付率：对于发生拒付当月仍有新增交易的，拒付率=当月拒付笔数/拒付当月交易总笔数；对于发生拒付当月没有新增交易的，如停止交易的前2个月拒付超标，后续所有来的拒付均适用拒付率超标来计算拒付罚金。</p><p style="margin-bottom: 10px;">1.7. BRAM: （全称Business Risk Assessment and Mitigation）业务风险评估及缓解。业务风险评估及缓解计划于2005年7月由MasterCard主动发起，目的在于保护MasterCard及其用户远离非法及品牌侵权交易和行为。</p><p style="margin-bottom: 10px;">1.8. GBPP: （全称Global Brand Protection Program）全球品牌保护计划。全球品牌保护计划旨在确保收单行对其合作商户的收单活动进行适当的控制。目标是为了保护收单行和Visa支付系统的完整性，并防止商户进行一系列的品牌侵权、销售违禁品等违规交易。</p><p style="margin-bottom: 10px;">1.9. ECP: （全称Excessive Chargeback Program）超额拒付计划。超额拒付计划由MasterCard设计，目的在于监控收单行合作商户的拒付情况，并且在商户已经或有可能超过每月拒付标准的时候，立即采取相应措施。</p><p style="margin-bottom: 10px;">1.10. VDMP(全称Visa Dispute Monitoring Program）拒付超标监控计划，拒付超标监控计划由Visa设计，目的在于监控收单行合作商户的拒付情况，并且在商户已经或有可能超过每月拒付标准的时候，立即采取相应措施。</p><p style="margin-bottom: 10px;">1.11. PCI DSS: 全称Payment Card Industry （PCI） Data Security Standard（DSS）。支付卡行业数据安全标准认证由Visa、MasterCard、American Express、Dinner&amp;Discover、JCB五家国际卡组织联合推出，旨在规范支付交易相关的服务提供商和与其签约的大型商户，使他们遵循此标准以促进信息安全建设。PCI DSS信息安全标准有6大项目，12个小项的要求，是目前全球最严格、级别最高的金融机构安全认证标准。</p><p style="margin-bottom: 10px;">1.12. AML: （全称Anti-Money Laundering）反洗钱，是指为了预防通过各种方式掩饰、隐瞒毒品犯罪、黑社会性质的组织犯罪、恐怖活动犯罪、走私犯罪、贪污贿赂犯罪、破坏金融管理秩序犯罪等犯罪所得及其收益的来源和性质的洗钱活动。</p><p style="margin-bottom: 10px;">以上第1.7-1.10项名词解释为国际卡组织（包括但不限于Visa、MasterCard等）作出的定义及解释，本协议将根据国际卡组织的要求，不时进行更新。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>二、服务内容</strong></p><p style="margin-bottom: 10px;">2.1. 乙方依据本协议约定及相关监管部门的规定为甲方提供国际银行卡及全球本地支付服务，并协助甲方完成系统对接。</p><p style="margin-bottom: 10px;">2.2. 甲方授权同意乙方的欧盟、英国、美国关联公司为甲方提供代运营服务，包括对接当地的支付网络以及受理消费者的投诉、退款售后服务，但甲方不需为此支付除附件约定外的其他费用。</p><p style="margin-bottom: 10px;">2.3. 甲方在成为乙方支付网络商户的同时，也同意成为国际卡组织，包括但不限于Visa、MasterCard等卡组织注册用户，并愿意遵守其公开的用户管理规则。</p><p style="margin-bottom: 10px;">2.4. 本协议项下，乙方仅为具有真实交易背景的业务提供相关服务。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>三、服务收费</strong></p><p style="margin-bottom: 10px;">3.1.&nbsp; 甲方承诺按本协议约定向乙方支付服务费。</p><p style="margin-bottom: 10px;">收费标准详见UseePay《国际银行卡服务报价单》、《全球本地支付报价单》。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>四、甲方权利和义务</strong></p><p style="margin-bottom: 10px;">4.1. 甲方有义务对其交易过程中获得的各项数据遵循交易所在地国家或地区关于数据保密的要求（如中国的数据安全法、欧洲的GDPR等），不得向任何第三方泄露交易过程中获得的敏感数据，但法律、法规另有规定或双方另有约定的除外。</p><p style="margin-bottom: 10px;">4.2. 甲方应当依照法律法规、国际卡组织的规定以及乙方准入商户的要求发布信息、诚信经营，不得以非法经营、不正当竞争、虚假宣传、非法广告、商业欺诈等方式侵害消费者及持卡用户的合法权益，甲方独立承担因其网站信息虚假或者侵犯知识产权引起的退货、投诉、拒付及赔偿责任，甲方因上述行为给乙方造成损失的，应当承担赔偿责任。</p><p style="margin-bottom: 10px;">4.3. 甲方应如实向乙方提供其经营主体的基本信息、营业执照等材料及相关证明，并如实陈述其经营范围。甲方在前述资料及注册信息、注册邮箱、结算信息等重要信息发生变更时，应提前三个工作日以书面形式通知乙方，并向乙方更新相应的资质材料。</p><p style="margin-bottom: 10px;">4.4. 乙方对乙方支付系统及网站的内容、标示及程序等拥有绝对的知识产权及所有权，在未得到乙方书面授权情况下，甲方不得擅自转载、复制、截取、再造乙方支付系统或网站上的内容，或者创造与乙方支付系统或网站内容有关的衍生产品。</p><p style="margin-bottom: 10px;">4.5. 若甲方未完整、及时提供乙方为履行KYC(了解你的客户)职责所需材料或者提供的材料存在虚假情况，乙方有权随时无责终止本协议。</p><p style="margin-bottom: 10px;">4.6. 甲方不得通过乙方提供的支付接口进行洗钱、诈骗等非法交易，且需履行反洗钱（AML）义务（详见附件相关约定）。一旦发现甲方有洗钱、诈骗等行为，乙方有权随时停止交易，终止本协议，并上报至相关监管部门及公安、司法机关。乙方不对甲方的非法交易承担任何责任。</p><p style="margin-bottom: 10px;">4.7. 甲方不得进行虚假交易或使用下挂网站、跳转网站来规避乙方或卡组织的合规要求或风控系统的监测，一经发现，乙方有权随时终止服务，且所有后续产生的风险及监管机构及卡组织罚款费用由甲方承担，以及因乙方终止服务导致甲方损失将由甲方自行承担。</p><p style="margin-bottom: 10px;">4.8. 甲方需要制定科学合理的订单处理、物流发货时效、产品质量、客服服务标准。甲方货运实物给客户的，需要求客户收到货物后签收，并妥善保留签收等交易凭证，相关凭证信息应至少保留五年，以备乙方或其合作的收单银行等机构查验。</p><p style="margin-bottom: 10px;">4.9. 甲方仅能将乙方的服务用于自身及其集团内公司的真实合法交易。非经乙方书面允许，甲方及其集团不得将支付网络服务用于准入时申报网站或APP、小程序之外的其他网站或约定业务之外的其他业务，不得将网络支付服务、设备直接或变相延伸至甲方之外的任何第三方使用。如甲方违反本规定，乙方有权立即停止向甲方提供服务、限制甲方的交易款项出款、罚款，并且甲方应当赔偿由此造成的全部损失。</p><p style="margin-bottom: 10px;">4.10. 甲方不得实施损害卡组织品牌或者侵犯卡组织知识产权的行为。若甲方违反本条约定，乙方有权立即终止提供所有服务，且甲方应独自承担全部侵权责任。</p><p style="margin-bottom: 10px;">4.11. 甲方自行对自己的在线电子商务遵循销售目的国的纳税义务，如果相关国家有明确法律规定要求乙方或乙方的关联方代扣代缴或补缴，甲方不得拒绝履行纳税义务，否则乙方有权在5个工作日内停止服务并保留向乙方追索当地税款的权利。</p><p style="margin-bottom: 10px;">4.12. 合作过程中，由于系统故障、人工差错、银行误操作等原因导致乙方给甲方实际的结算金额错误，多结算或少结算给甲方，双方同意第一时间将多结算或少结算的金额退回或补足。任何一方拒不返还的，对方均有权采取法律途径进行追索。</p><p style="margin-bottom: 10px;">4.13. 双方保留向对方追偿其因实现本协议下的权利而产生的所有费用的权利。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>五、乙方权利和义务</strong></p><p style="margin-bottom: 10px;">5.1. 乙方保留本协议下服务价格的调整权及最终解释权，在合作的上游渠道（收单行或收单机构）价格进行了调整时，乙方可能会对价格调整，甲方在接到乙方通知之日起20个工作日内没有提出书面异议的，视为甲方同意按乙方调整后的价格执行；甲方明确不接受调整的，双方中任何一方均有权在5个工作日内终止合作。</p><p style="margin-bottom: 10px;">5.2. 甲方同意并授权乙方为实现本协议目的实时监测甲方的交易，以预防可能产生的欺诈、拒付风险。乙方基于自身对交易风险的把握和判断，在发现可能产生交易欺诈、拒付、洗钱、违规等异常交易时，有权直接拒绝该笔交易，也有权要求甲方在规定时间内核查交易后再判断该交易是否放行；乙方对甲方的异常交易进行审查时，甲方应积极配合，并确保乙方能够顺利进入甲方的相关网站或者物理站点。同时，乙方有权根据情况决定是否对甲方采取待结算款项暂缓结算、限制出款、停止提供服务、解除本协议等措施。甲方同意，本条款并不明示或暗示乙方具有对甲方交易进行风险防范的义务，甲方需自行对其交易进行风险防范并承担欺诈损失。</p><p style="margin-bottom: 10px;">5.3. 乙方需对甲方产生的消费、退款、拒付等类型的交易进行处理,并收取相关交易手续费用。乙方系统实时同步处理结果告知甲方，甲方有异议的，需在10个工作日内反馈，否则视为无异议。</p><p style="margin-bottom: 10px;">5.4. 若甲方出现以下情形，乙方有权向甲方采取处罚措施，处罚措施包括罚款、限制出款、延迟结算、关闭通道、解除协议：</p><p style="margin-bottom: 10px; text-indent: 2em;">a. 甲方交易出现拒付、欺诈超标，乙方按照附件约定收取罚金；</p><p style="margin-bottom: 10px; text-indent: 2em;">b. 甲方交易连续2个月拒付率超标，乙方有权利暂停服务，且有权要求甲方在五个工作日内提交拒付、欺诈交易的交易凭证等相关证据材料。经乙方审核后，乙方有权决定继续为甲方提供服务或解除本协议。</p><p style="margin-bottom: 10px; text-indent: 2em;">c. 对于涉及赌博、药品、色情等违规交易，若出现一笔，在国际卡组织或乙方上游收单机构罚款的基础上，加罚5万美元，同时限制出款至180天后结算、关闭通道、解除协议。该违规交易可以由乙方通过风控监测手段发现，也可以由卡组织、乙方收单机构发现报出。</p><p style="margin-bottom: 10px; text-indent: 2em;">d. 对于涉及知识产权的违规交易，若出现一笔，在国际卡组织或乙方上游收单机构罚款的基础上，加罚2.5万美元/笔，同时限制出款至180天后结算，并通知甲方限期整改，整改合规后方可重新出款；若出现两笔，在国际卡组织或乙方上游收单机构罚款的基础上，加罚5万美元/笔，同时限制出款至180天后结算、关闭通道、解除协议。该违规交易可以由乙方通过风控监测手段发现，也可以由卡组织、乙方收单机构发现报出。</p><p style="margin-bottom: 10px; text-indent: 2em;">e. 对于以上情形的罚款及其他相关费用，甲方同意乙方从甲方待结算款中扣减或甲方在接到乙方通知后三个工作日内汇款至乙方银行账户。</p><p style="margin-bottom: 10px; text-indent: 2em;">f. 若因甲方拒付、欺诈严重超标且给乙方或其合作的收单机构或卡组织造成恶劣影响，甲方按照附件规定罚金标准向乙方支付拒付罚金，若其拒付罚金仍不足以弥补乙方被国际卡组织及收单机构加罚的部分，由甲方承担，但乙方计算的分摊比例需公平透明。</p><p style="margin-bottom: 10px; text-indent: 2em;">g. 甲方认可乙方在暂停或解除与甲方合作之后依旧享有以上费用的追索权。</p><p style="margin-bottom: 10px;">5.5.&nbsp;&nbsp; 甲方同意上述5.3条下的处理费和5.4条下的罚款，由乙方按照以下顺序收取：</p><p style="margin-bottom: 10px; text-indent: 2em;">a. 从甲方待结算交易款中扣除；</p><p style="margin-bottom: 10px; text-indent: 2em;">b. 待结算交易款不足扣除，从甲方保证金中扣除；</p><p style="margin-bottom: 10px; text-indent: 2em;">c. 保证金不足扣除的，由甲方汇款至乙方指定银行账户补足。</p><p style="margin-bottom: 10px;">乙方向甲方收取罚款、代垫款项后，向甲方提供符合规定的收款凭据。</p><p style="margin-bottom: 10px;">5.6. 甲方若出现以下情形，乙方有权采取其认为合理且必要的下列措施，包括但不限于：</p><p style="margin-bottom: 10px;">1）暂停为甲方提供服务；2）追加保证金或限制甲方的待结算款项出款；3）单方面解除本协议且不承担任何违约责任：</p><p style="margin-bottom: 10px; text-indent: 2em;">a. 本协议签订后，乙方发现甲方网站经营内容与进件时申报不符、银行反馈在售商品违反法律法规以及国际卡组织的规定而拒绝开户、终止交易或甲方因改变经营范围导致其不符合乙方商户准入要求的；</p><p style="margin-bottom: 10px; text-indent: 2em;">b. 当甲方存在以下情况时：1）拒付、欺诈连续2个月超标，经预警后无法改善的；2）违反本协议约定；3）不诚信（如销售假冒伪劣产品）或商业欺诈；4）经营异常、自身财务状况发生重大变化且可能影响本协议正常履行。</p><p style="margin-bottom: 10px;">5.7. 本协议生效后，乙方提供中国工作时间内相应的技术咨询服务，并在甲方反映问题后的24小时内作出响应。</p><p style="margin-bottom: 10px;">5.8. 基于乙方为甲方提供本协议约定的服务，甲方同意并授权乙方可以将甲方相关信息披露给乙方的上游合作方、卡组织、监管机构或者为乙方提供服务的其他第三方，但乙方仅限于实现本合同目的使用甲方提供的相关数据。</p><p style="margin-bottom: 10px;">5.9. 乙方有义务保存好在处理甲方交易过程中获得的相关数据，乙方及其员工任何时候不得泄露甲方交易过程中的敏感信息或数据。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>六、保证</strong></p><p style="margin-bottom: 10px;">6.1. 甲方选择保证金形式为： &nbsp;【B】 &nbsp;</p><p style="margin-bottom: 10px;">A.固定保证金；或</p><p style="margin-bottom: 10px;">B.循环保证金 。</p><p style="margin-bottom: 10px;">6.2. 固定保证金：甲方授权乙方在遭受风险损失时自行扣取。当保证金金额低于附件约定金额时，甲方应在3个工作日内补足相应款项。</p><p style="margin-bottom: 10px;">本协议终止且无任何争议交易的，则乙方在合作终止180天后的3个工作日内将剩余保证金退还给甲方。若本协议终止后的180天内持续发生拒付或者退款等风险交易或争议交易的，乙方有权预留一部分保证金应对拒付或退款。</p><p style="margin-bottom: 10px;">6.3. 循环保证金：每笔交易成功后，乙方按成功交易额的一定比例扣留保证金，到期后自动释放至商户待结算账户。具体比例和周期见附件约定。合作终止并在循环保证金按期释放至待结算账户后，乙方扣除实际发生的拒付、欺诈、退款等金额后的余额，将于最近的结算转账日（遇法定节假日顺延）汇款至甲方，但如果保证期内持续有拒付或退款，即使释放至待结算账户后，乙方也有权利暂缓结算。</p><p style="margin-bottom: 10px;">6.4. 乙方有权根据甲方交易量的变化以及风险程度的变化与甲方协商修改上述保证金的扣除方式、比例、金额等，双方未达成一致意见的，可在5个工作日内解除合作。合作解除后，资金出款参照本协议约定终止合作后的资金出款约定。</p><p style="margin-bottom: 10px;">6.5. 为充分保障合作长久及诚实信用，丙方作为甲方的实际控制人、负责人，将充分秉持审慎善意原则，刻尽勤勉督促甲方履行，并对甲方在本协议项下的义务承担无限连带保证责任，保证期间为担保法律规定范围内的最长期间。</p><p style="margin-bottom: 10px;"><strong><br/></strong></p><p style="margin-bottom: 10px;"><strong>七、拒付及订单调查</strong></p><p style="margin-bottom: 10px;">7.1. 乙方有权在甲方拒付率超标的次月，按附件约定向甲方收取罚金。</p><p style="margin-bottom: 10px;">7.2. 虽然有7.1条的规定，由于甲方拒付严重超标行为导致影响乙方其他正常商户的业务开展，或导致乙方合作的收单机构或卡组织终止了与乙方的合作，或者给予乙方造成其他重大损失时，乙方有权利向甲方索偿其遭受的损失。</p><p style="margin-bottom: 10px;">7.3. 乙方认为甲方存在高风险、高拒付的情况下，且一个月内甲方没有为降低拒付率采取任何显著优化与提升举措的，乙方有权决定停止服务，直至甲方采取前述措施并经乙方确认拒付表现改善后才可恢复合作，由此产生的损失由甲方自行承担。</p><p style="margin-bottom: 10px;">7.4. 因甲方通过乙方向卡组织等机构申请拒付仲裁、申诉而进入仲裁、申诉流程的，甲方自行承担仲裁费、申诉费等费用。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>八、退款</strong></p><p style="margin-bottom: 10px;">8.1. 若出现缺货、无法按时交货、无法提供服务、客户撤销交易、欺诈拒付高危或疑似欺诈拒付高危交易等情形并需做退款处理的情况，按如下方式处理：</p><p style="margin-bottom: 10px; text-indent: 2em;">a. 甲方按乙方或银行要求，在规定时间内，提交退款请求或相关材料；</p><p style="margin-bottom: 10px; text-indent: 2em;">b. 当甲方向乙方提出退款请求时，乙方将在甲方的在待结算账户中的资金中进行扣款；待结算账户资金不足的，甲方需以银行划账方式将退款资金转入乙方银行账户，否则乙方有权拒绝退款，并不承担任何责任；</p><p style="margin-bottom: 10px;">8.2. 为了防止消费者利用虚假交易、撤销交易等方式套现，甲方不得线下退款（例如向客户其他账户内汇入资金或支付现金等），退款必须由原路返还至甲方客户支付时的银行卡中，否则由甲方自行承担责任。</p><p style="margin-bottom: 10px;">8.3. 退款发生时，由于退款时间与交易时间不一致，而国际货币汇率又是实时动态变化的，甲方及其持卡人可能会因该笔退款产生退款汇兑收益或损失，均由甲方及持卡人自行承担。</p><p style="margin-bottom: 10px;">8.4. 甲方存在以下情况时，乙方有权决定并主动进行退款操作，以规避拒付风险，但乙方有义务提前通知甲方：</p><p style="margin-bottom: 10px; text-indent: 2em;">a) 乙方在对交易订单进行风险反欺诈检测并认为交易比较可疑或经专业机构报警拒付高危时要求甲方配合调查或退款时，甲方拒绝配合调查或者未在乙方规定时间内采取合理行动的；</p><p style="margin-bottom: 10px; text-indent: 2em;">b)&nbsp; 经乙方判断甲方交易存在欺诈、以次充好、货不对板、不能按时发货、未发货情况时或者不能按时提供服务，经乙方通知甲方进行退款操作后，甲方拒绝退款或者未在乙方规定时间内主动退款的；</p><p style="margin-bottom: 10px; text-indent: 2em;">c) 消费者主动提出退货退款时，而乙方没有合理理由拒绝的情形时；</p><p style="margin-bottom: 10px; text-indent: 2em;">d) 乙方基于自身专业判断认为甲方从事不属于卡组织、收单机构受理范围之内或者违反国际反洗钱、反恐怖融资相关法律法规要求的交易时，经乙方通知甲方进行退款操作后，甲方拒绝退款或者未在乙方规定时间内主动退款的；</p><p style="margin-bottom: 10px; text-indent: 2em;"><br/></p><p style="margin-bottom: 10px;"><strong>九、结算</strong></p><p style="margin-bottom: 10px;">9.1. 乙方需按协议约定按时将资金结算至甲方。</p><p style="margin-bottom: 10px;">9.2. 乙方按照每笔订单计算软件平台服务费，双方认可因小数点后两位进位而导致的微小差异。</p><p style="margin-bottom: 10px;">9.3. 甲方在应在合理的时间范围内核实乙方每笔结算款项的正确性和完整性。如甲方对乙方结算至其指定账户的款项存在异议，应尽量在交易（结算交易还是正常交易）结束后1个月内提出。</p><p style="margin-bottom: 10px;">9.4. 本协议所涉及的各种待结算款、保证金等均不再涉及利息。</p><p style="margin-bottom: 10px;">9.5. 甲方结算银行信息根据甲方自行提交材料确定。</p><p style="margin-bottom: 10px;">9.6. 双方通过银行汇款方式结算，甲方变更结算账号的，应及时向乙方提供书面变更通知。</p><p style="margin-bottom: 10px;">9.7. 在协议有效期内或协议期满或者提前终止时，甲方存在大量客户纠纷、监管机关调查事项、交易风险事件及其他未结事项的，乙方有权推迟结算直至上述情形消除。</p><p style="margin-bottom: 10px;">9.8. 甲乙双方终止合作后，如甲方交易未发生与其历史交易表现（主要指拒付率、退款率）不一致的情况下，乙方在确认甲方已经完成其商品配送或服务时，将甲方待结算账户的余额结算至甲方约定的银行账户，保证金账户将在保证期到期后再结算至甲方。</p><p style="margin-bottom: 10px;">9.9. 若甲方从事卡组织等单位规定不予受理的业务范围内的交易（包括但不限于博彩、黄赌毒、管制刀具、枪支器械、洗钱交易等）时，乙方有权不予结算，并立即停止提供服务、终止双方合作。</p><p style="margin-bottom: 10px;">9.10. 在乙方未收到结算款项前，出于完善客户体验等各种商业目的，乙方会视情况自行决定预先垫支款项给甲方进行结算。甲方在此确认并同意乙方上述预先垫支款项均视为甲方向乙方的借款，利息双方有约定的，按照约定处理，没有约定的，则视为免息。乙方收到结算款项后，该结算款项将自动用以归还上述预先垫支款项；如果乙方最终未能收到结算款项，则甲方有义务在乙方提出要求后归还乙方上述预先垫支款项，否则，每逾期一日，甲方应当以未归还的垫支款项为基数按照日万分之五违约金。</p><p style="margin-bottom: 10px;">9.11. 在发生包括但不限于下述情况时，且甲方待结算资金已经为负数时，乙方有权向甲方索回或追偿相关款项：</p><p style="margin-bottom: 10px; text-indent: 2em;">a. 持卡人拒付、退款或发卡行退单时；</p><p style="margin-bottom: 10px; text-indent: 2em;">b. 甲方在经营活动中违反国家、国际卡组织、银行、收单机构等相关规定，导致相关有权部门对乙方罚款或者押款；</p><p style="margin-bottom: 10px; text-indent: 2em;">c. 由于甲方发生的风险交易数额或者比率超过卡组织的阈值规定而导致乙方收单机构对乙方予以处罚的罚款。</p><p style="margin-bottom: 10px;">9.12. 在对甲方待结算款项进行暂缓结算、限制出款等操作后3个工作日内，乙方需将相应情况以书面形式通知甲方。</p><p style="margin-bottom: 10px;">9.13. 甲乙双方应当依法纳税，并各自承担本协议项下业务需缴纳的税费。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>十、专有信息和保密</strong></p><p style="margin-bottom: 10px;">10.1. 乙方或乙方的合作伙伴拥有乙方所提供网络服务内容的所有权和知识产权。网络服务内容的所有权包括但不限于：</p><p style="margin-bottom: 10px; text-indent: 2em;">a. 文字、软件、声音、图片、录像、图表、标示、广告中的全部内容；</p><p style="margin-bottom: 10px; text-indent: 2em;">b. 电子邮件的全部内容，乙方为甲方或甲方客户提供的其他数据信息等；</p><p style="margin-bottom: 10px; text-indent: 2em;">c. 基于上述内容所有的版权、商标、标签以及其他财产所有权和权益。</p><p style="margin-bottom: 10px;">10.2. 合同履行过程中，涉及甲方自身提供的信息、资料等全部内容的所有权和知识产权由甲方享有。</p><p style="margin-bottom: 10px;">10.3. 双方在合作期内获得的信息及本协议内容均为保密信息。保密信息包括但不限于：</p><p style="margin-bottom: 10px; text-indent: 2em;">a. 双方的商业模式、产品等；</p><p style="margin-bottom: 10px; text-indent: 2em;">b. 系统接口文档、安全协议及资质证书等；</p><p style="margin-bottom: 10px; text-indent: 2em;">c. 其他因签订本协议知悉的对方经营、运行记忆交易等商业信息。</p><p style="margin-bottom: 10px;">10.4. 甲乙双方及其全部员工（包括可以直接或间接接触到通过电子支付方式付款的客户的银行卡资料及信息的所有员工）必须对其知晓的客户的银行卡资料予以保密。不得泄露、披露客户的银行卡资料，更不得利用客户的银行卡资料从事盗卡、伪冒等非法交易。如发生上述情形造成持卡人损失的，由责任方依法承担责任。</p><p style="margin-bottom: 10px;">10.5. 甲乙双方对本协议条款（包括附件和补充协议）、技术信息、经营信息等保密信息负有同样的保密义务。在本协议的磋商、订立过程中、本协议期内以及本协议终止后的任何和所有时间内，任何一方在事先未经对方书面同意的情况下，不得向任何第三方披露、泄漏任何对方的保密信息；否则应当承担法律责任。&nbsp;</p><p style="margin-bottom: 10px;">10.6. 在本协议履行期间及履行结束后，一方违反上述约定，另一方有权主张对方停止侵害并得向对方主张违约金及损害赔偿金，同时有权单方终止本协议。</p><p style="margin-bottom: 10px;">10.7. 本协议项下的保密责任不因本协议的无效、提前终止、解除或不具操作性而失效。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>十一、期限和终止</strong></p><p style="margin-bottom: 10px;">11.1. 本协议自甲方点击注册并使用UseePay的服务开始生效，至一方解除或费用结算完成之日终止。</p><p style="margin-bottom: 10px;">11.2. 在本协议约定的有效期届满前30日内，双方应就是否续约进行协商；如本协议期限届满之日，双方均未有终止本协议的书面意思表示且甲方继续使用UseePay的服务，则视同本协议自动续签贰年，且今后本协议以此方式继续续期。</p><p style="margin-bottom: 10px;">11.3. 在本协议有效期间内，如果甲乙双方企业名称发生变更的，双方须在更名后的十五个工作日内向对方提交更名通知及工商局等政府部门关于更名核准的资料，该情况并不影响本协议的履行。</p><p style="margin-bottom: 10px;">11.4. 本协议非经双方书面协商一致及本协议第11.5条规定的情形外不得解除；</p><p style="margin-bottom: 10px;">11.5. 甲方有下列情形之一的，乙方可单方面立即终止协议并停止服务，因此造成损失的，乙方有权追偿因此导致的损失：</p><p style="margin-bottom: 10px; text-indent: 2em;">a) 甲方利用乙方提供的支付平台进行洗钱、诈骗、盗窃等非法行为的，或者在交易中违反相关法律规定、国际卡组织规定及乙方商户准入要求的；或者甲方提供的身份证明、企业登记资料、行政许可证、业务范围不真实等？；</p><p style="margin-bottom: 10px; text-indent: 2em;">b) 通过乙方支付平台而发生的成功交易，甲方不发货或者不提供服务至消费者；或者甲方在交易中出现或者可能出现过多的交易纠纷或者过高交易风险经双方协商无法解决的；或者甲方未及时妥善处理客户投诉给乙方造成声誉上损害的；</p><p style="margin-bottom: 10px; text-indent: 2em;">c) 司法机关、金融监管机构、发卡行等相关行政及监管部门出具要求终止或者终止对甲方支付结算的书面通知的；或者乙方根据上游收单机构或银行或国际卡组织的高风险通知或关闭商户通知，提前书面通知甲方的；</p><p style="margin-bottom: 10px; text-indent: 2em;">d) 不合理使用乙方提供给甲方的支付服务的，包括但不限于在其网站上未如实描述乙方支付义务、甲方采用技术或者非法手段截取消费者的银行卡信息等；</p><p style="margin-bottom: 10px; text-indent: 2em;">e) 甲方在交易中违反法律规定，侵犯他人的知识产权的，包括但不限于假冒、出售假冒注册商标的商品、制造或销售非法制造的商标标示、制造或者销售侵权复制品、制造或者出售制造的假冒专利产品以及制造或者销售侵犯他人商业秘密的商品等行为；</p><p style="margin-bottom: 10px; text-indent: 2em;">f) 甲方不得采取任何方式截取消费者通过使用乙方电子支付服务而必须向乙方输入的敏感信息（包括但不限于银行卡、企业银行账户信息），不得代其他用户或合作伙伴提交订单或发出任何指令。</p><p style="margin-bottom: 10px;">g) 如果由于合作收单银行或机构、国家机关要求乙方停止支付服务时，乙方有权终止与甲方的业务合作。</p><p style="margin-bottom: 10px;">11.6. 本协议提前解除或者终止的，甲方已缴纳的技术对接费以及年技术服务费不退，保证金的返还和扣除仍按本协议执行。</p><p style="margin-bottom: 10px;">11.7. 本协议期限届满不再续签或按约定提前解除的,所发生的退款、拒付等交易扣款仍应由甲方承担；甲方未结算款不足抵减拒付或退款款项的，甲方应在收到乙方通知后7日内将相应的款项支付给乙方，否则，每逾期一日，甲方应当以未归还款项为基数按照日千分之三支付违约金。</p><p style="margin-bottom: 10px;">11.8. 甲方同意，本协议终止时，若本协议项下甲方相关付款义务尚未履行完毕或者存在其他潜在交易风险时，乙方有权根据自身风险判断或者卡组织的指示等决定延迟结算，直至甲方履行完毕本协议项下产生的所有付款义务或潜在交易风险消除。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>十二、违约责任与责任限制</strong></p><p style="margin-bottom: 10px;">12.1. 一方因违反本协议约定造成另一方损失的，另一方有权请求损害赔偿。</p><p style="margin-bottom: 10px;">12.2. 因甲方及其消费者或者用户原因，乙方合作的收单机构、电信、网络、设备及供电故障、不可抗力等乙方以外的其他原因导致乙方不能履行本协议规定义务的，乙方不承担责任。</p><p style="margin-bottom: 10px;">12.3. 本协议中涉及乙方对甲方的消费者、用户或第三方的服务,是乙方履行对甲方义务的行为, 并不构成对甲方的消费者、用户或第三方的任何承诺,甲方的消费者、用户或第三方不因此而获得对乙方的直接请求权。</p><p style="margin-bottom: 10px;">12.4. 乙方作为支付网络服务商，在履行本协议过程中所涉及的任何情况下，不对甲方的潜在业务机会等间接损失负责。</p><p style="margin-bottom: 10px;">12.5. 因乙方故意或重大过失导致甲方损失的，乙方需就该过失导致的直接损失进行赔偿。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>十三、不可抗力</strong></p><p style="margin-bottom: 10px;">13.1. 本协议所称“不可抗力”是指在本协议签订后发生的、一方无法预见、无法避免并无法克服的客观情况。包括但不限于水灾、火灾、旱灾、台风、地震、瘟疫及其它自然灾害、罢工、骚动、暴乱及战争（不论宣战与否）以及政府部门的作为或不作为。</p><p style="margin-bottom: 10px;">13.2. 鉴于网络所具有之特殊性，本协议项下的不可抗力还包括不限于黑客恶意攻击，现有正常安全手段无法预防的计算机病毒侵入及发作，大规模新型病毒的爆发、电力故障或政府限制性供电等外来原因断电等影响网络正常经营的情形。</p><p style="margin-bottom: 10px;">13.3. 因受不可抗力影响而不能履行或不能完全履行本协议的，一方可以部分或全部免除履行其责任。</p><p style="margin-bottom: 10px;">13.4. 不可抗力发生后，甲乙双方须竭尽全力消除或降低不利影响，并可协商继续履行或终止本协议。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>十四、 适用及管辖</strong></p><p style="margin-bottom: 10px;">14.1. 本协议及附件的定义、解释、履行、效力均适用中华人民共和国法律，本协议履行地为中国大陆。</p><p style="margin-bottom: 10px;">14.2. 甲乙双方应以友好协商方式解决本协议履行过程中产生的争议，经协商无法解决争议时，任一方均可向上海市浦东新区人民法院提起诉讼。&nbsp;&nbsp;&nbsp;</p><p style="margin-bottom: 10px;">14.3. 本协议签订后，除新实施法律法规作出明确规定的外，新实施法规对本协议不具有溯及力。因协议签订后国家法律法规、监管政策变更而导致本协议的部分或者全部条款无效或无法实施时，甲乙双方可根据相关法律法规规定变更情况，对本协议进行修改或补充。如双方无法达成变更、补充协议，双方均不构成违约。</p><p style="margin-bottom: 10px;"><br/></p><p style="margin-bottom: 10px;"><strong>十五、文件效力</strong></p><p style="margin-bottom: 10px;">15.1 本协议一经甲方注册即生效，与纸质协议具有同等法律效力；协议未尽事宜，双方可书面补充协议，补充协议与本协议具有同等法律效力，补充协议与本协议约定不一致的，以补充协议约定为准。本协议的任何补充和修改仅能以甲乙双方签章的书面文件进行。</p><p style="margin-bottom: 10px;">15.2 本协议附件以及补充协议是本协议的组成部分，和本协议具有同等法律效力。甲方的注册，亦视为对附件以及补充协议的认可同意。</p><p><br/></p><p style="margin-bottom: 10px;"><strong>附件一</strong></p><p style="margin-bottom: 10px;">反洗钱协议</p><p style="margin-bottom: 10px;">根据《中华人民共和国刑法》及《中华人民共和国反洗钱法》以及香港地区反洗钱法律法规的规定，甲乙双方经友好协商，共同遵守以下约定。</p><p style="margin-bottom: 10px;">1、甲乙双方均知悉并愿意遵守中华人民共和国大陆及香港地区反洗钱的各项相关法律规定，并清楚任何形式洗钱行为都将触犯法律并会受到法律严惩，因此双方相约严格遵守反洗钱的相关法律规定。</p><p style="margin-bottom: 10px;">2、双方承诺其资金为合法、安全的自有资金，不存在不诚实经营、诈骗客户资金等违法经营行为所得或盗窃、诈骗、毒品交易、黑社会组织性质不法行为、受贿、侵占挪用公司财产等犯罪行为所得，不存在通过双方商业平台进行洗钱行为来掩饰其资金非法来源，获取不法收益的行为。</p><p style="margin-bottom: 10px;">3、甲方承诺不得将其在乙方平台所得资金用作任何反国家、恐怖融资等违法犯罪活动，或将进行投资及收益支持、资助或变相帮助反国家、恐怖组织用于非法活动。</p><p style="margin-bottom: 10px;">4、甲方作为乙方支付平台的用户，乙方对用户施行实名注册、严格准入制度，对于通过实名注册用户，乙方在其交易行为发生时进行客户身份甄别，严格审核，有权拒绝对身份不明的用户或涉嫌洗钱可疑交易的用户提供资金结算等任何服务。</p><p style="margin-bottom: 10px;">5、乙方平台按规定完整登记用户相关信息，审慎保存并实时监管，对用户的账户和相关动态持续关注，如用户信息发生变更、交易中经审查涉嫌洗钱犯罪、公安检察院法院等司法机关及有关部门要求协查等情况发生时，乙方平台将对用户上述账户及个人信息进行重新识别，对于上述用户已发生交易保存的相关合同、资金凭证及其他交易资料进行重新审核或协助司法机关或有权监管部门查证。</p><p style="margin-bottom: 10px;">6、如乙方平台在与甲方合作过程中发现或在第三方金融或同业机构中已确认甲方涉及洗钱犯罪、资金或其他财产来源于恐怖组织、恐怖分子、从事恐怖融资活动人员及其他违法犯罪所得；资金或其他形式的财产已用于或将用于恐怖融资、恐怖活动等违法犯罪活动时，乙方将立即停止甲方在平台已发生或正发生的所有交易，将其账户内的待结算资金采取查封账户、限制出款措施，并将甲方违法行为报送指定金融监管部门并视情况将交易违法信息及证据材料移交司法机关处理，由此导致乙方或其他第三方损失的，甲方应承担完全的赔偿责任并单独承担相应法律后果。</p>',l=s,p='<p style="text-align: center;"><span style="font-size: 20px;"><strong>UseePay Service Agreement</strong></span></p><p style="text-align: center;">&nbsp;</p><p>Before you become a registered user of UseePay (UseePay is an international credit card network payment service provider, willing and able to provide international credit card network payment, settlement and related services), please confirm that you have fully read, understood and accepted all the contents of this Agreement, and agree to comply with all the provisions of this Agreement. If you do not agree with this Service Agreement and/or any additions and modifications made to it from time to time, you can stop it on your own initiative; once you use it, it is deemed that you have understood and fully agreed with all the contents of this Service Agreement, including any additions and modifications made by UseePay and the International Card Organisation to the terms and conditions of this Agreement from time to time.</p><p>&nbsp;</p><p>This &quot;UseePay Service Agreement&quot;, also known as &quot;UseePay Overseas Payment Service Agreement&quot;. Within the scope of this Agreement, you shall be an independent legal entity with full capacity for civil behaviour, the Party A of the Agreement; UseePay, the legal entity of which is Hong Kong HaiTaiFu Technology Limited (UseePay Limited), the Party B of the Agreement.</p><p>&nbsp;</p><p>Party B, as an integrated service provider of international bank card payment and overseas local payment network, provides Party A with payment network services and related services. Party A, as a merchant as defined under this Agreement, agrees to use the payment network services provided by Party B in its business. On the basis of equality and mutual benefit and in accordance with relevant laws and regulations, both parties agree on the international bank card acquiring and overseas localised payment network services as follows:<br/><br/></p><p><strong>1. Definition and description</strong></p><p style="text-indent: 0em; margin-bottom: 5px;">1.1. International Card Scheme: Including but not limited to Visa, MasterCard, American Express, Dinner, Discover and JCB.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.2. Global Local Payment: A local payment method that meets the payment habits of local people, including but not limited to localised e-wallets, localised bank transfers and other localised payment methods.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.3. Merchant: Enterprises or other organisations registered in Party B&#39;s payment network and whose transactions are actually controlled by Party A and which provide goods or services directly to customers.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.4. Abnormal Transaction: Party A or Party A&#39;s customers, when using the payment network services provided by Party B under this Agreement, violate the laws and regulations of the place of operation or service or the prohibited behaviours as agreed in this Agreement, including, but not limited to, money laundering, fraud, pornography, gambling, drugs, pyramid schemes, card stealing, counterfeit cards, credit card cashing, funds transactions without real transaction backgrounds or not in conformity with the real transaction backgrounds, and Payment transactions in which the cardholder denies the transaction or the card issuer refuses to pay the funds; it also includes the behaviour of Party A, Party A&#39;s customers, relevant departments or units, and other third parties reflecting to Party B that there may be any of the above mentioned situations, or Party A&#39;s complaints by its customers have caused adverse impact on Party B or loss of funds, or the transaction behaviour that has been investigated and fined by the relevant regulatory governmental departments and international card organisations, acquiring banks, and so on.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.5. Chargeback: Within 180 days after the transaction begins, the cardholder can file a dispute with the card issuer at any time (Chargeback, CB for short). Since the card scheme and the acquiring institution requires a certain period of time to process the Chargeback, there would be more than 180 days of Chargeback.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.6. Chargeback Rate: For the month in which the chargeback of payment occurs and there are still new transactions, the chargeback rate = the number of chargebacks in the month / the total number of transactions in the month in which the chargeback occurs; if there are no new transactions in the month in which the chargeback occurred, if the chargebacks exceeded the standard in the first 2 months of the cessation of transactions, all subsequent chargebacks will be subject to the chargeback rate exceeding the standard to calculate the chargeback penalty.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.7. BRAM: Business Risk Assessment and Mitigation. The Business Risk Assessment and Mitigation (BRAM) programme was initiated by MasterCard in July 2005 to protect MasterCard and its users from illegal and brand-infringing transactions and behaviour.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.8. GBPP: Global Brand Protection Programme. The Global Brand Protection Programme is designed to ensure that acquirers have appropriate control over the acquiring activities of their partner merchants. The goal is to protect the integrity of the acquirer and Visa&#39;s payment system and to prevent merchants from engaging in a range of brand infringement, contraband sales, and other non-compliant transactions.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.9. ECP: Excessive Chargeback Program. The Excessive Chargeback Program was designed by MasterCard to monitor merchant chargebacks at acquirers&#39; partner merchants and to take immediate action when a merchant has exceeded, or is likely to exceed, the monthly chargeback threshold.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.10. VDMP: Visa Dispute Monitoring Program The Dispute Exceedance Monitoring Program was designed by Visa to monitor acquirers&#39; partner merchants&#39; chargebacks and to take immediate action when a merchant has exceeded, or is likely to exceed, the monthly chargeback threshold.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.11. PCI DSS: Refer to Payment Card Industry (PCI) Data Security Standard (DSS). PCI DSS is a joint initiative of five international card schemes - Visa, MasterCard, American Express, Dinner&amp;Discover, and JCB - that aims to regulate payment transaction-related service providers and their contracted large merchants to comply with the standard in order to promote the construction of information security. The PCI DSS has 6 major items and 12 minor requirements and is currently the most stringent and highest level of financial institution security certification standards in the world.</p><p style="text-indent: 0em; margin-bottom: 5px;">1.12. AML: Anti-Money Laundering(AML) refers to money laundering activities aimed at preventing money laundering through various means of disguising and concealing the source and nature of the proceeds of crimes and their proceeds, such as drug-related crimes, triad organisations, terrorist activities, smuggling, embezzlement and bribery, and sabotage of the financial management order.</p><p style="text-indent: 0em; margin-bottom: 5px;">The terms 1.7-1.10 above are defined and interpreted by the international card scheme(including but not limited to Visa, MasterCard, etc.) and this Agreement will be updated from time to time in accordance with the requirements of the international card scheme.</p><p>&nbsp;</p><p><strong>2. Service Contents</strong></p><p>2.1. Party B provides Party A with an international bank card and global local payment services in accordance with this Agreement and the regulations of relevant regulatory authorities and assists Party A in completing the system connection.</p><p>2.2. Party A authorises and agrees that Party B&#39;s EU, UK and US affiliates shall provide Party A with representative operation services, including connecting to the local payment network and accepting consumer complaints and refunding after-sale services, but Party A shall not pay any other fees for this purpose other than those agreed in the Annex.</p><p>2.3. When Party A becomes a merchant of Party B&#39;s payment network, Party A also agrees to become a registered user of an international card scheme, including but not limited to Visa, MasterCard and other card schemes and is willing to comply with their publicly available user management rules.</p><p>2.4. Under this Agreement, Party B only provides relevant services for businesses with real transaction backgrounds.</p><p>&nbsp;</p><p><strong>3. Charges for Services</strong></p><p>3.1. Party A undertakes to pay Party B the service fee as agreed in this Agreement.</p><p>For details of the fees, please refer to UseePay&#39;s &quot;Quotation for International Bank Card Services&quot; and &quot;Quotation for Global Local Payment&quot;.</p><p>&nbsp;</p><p><strong>4. Rights and obligations of Party A</strong></p><p>4.1. Party A shall be obliged to follow the data confidentiality requirements of the country or region where the transaction takes place (e.g. China&#39;s data security law, Europe&#39;s GDPR, etc.), and shall not disclose to any third party the sensitive data obtained in the course of the transaction unless otherwise stipulated by laws and regulations or agreed by both parties.</p><p>4.2. Party A shall release information and operate in good faith in accordance with laws and regulations, the provisions of the International Card Scheme and the requirements of Party B&#39;s access merchants, and shall not infringe upon the legitimate rights and interests of consumers and card users by way of illegal operation, unfair competition, false propaganda, illegal advertising, commercial fraud, etc. Party A shall independently bear the responsibility of returning goods, filing complaints, refusing to pay and compensating for damages due to the falsity of information on its website or infringement of intellectual property rights. Party A shall be liable for compensation if Party B suffers losses due to the above actions.</p><p>4.3. Party A shall truthfully provide Party B with the basic information of its business entity, business licence and other materials and relevant certificates, and truthfully state its business scope. Party A shall notify Party B in writing three(3) working days in advance and update Party B with the corresponding qualification materials in the event of changes in the aforementioned materials and important information such as registration information, registered email address and settlement information.</p><p>4.4. Party B has absolute intellectual property rights and ownership of the content, logo and procedures of Party B&#39;s payment system and website. Without Party B&#39;s written authorisation, Party A shall not reproduce, copy, intercept or recreate the content of Party B&#39;s payment system or website, or create derivative products related to the content of Party B&#39;s payment system or website without Party B&#39;s written authorisation.</p><p>4.5. Party B has the right to terminate this Agreement at any time without liability if Party A fails to provide the materials required by Party B to fulfil its KYC (Know Your Customer) duties in a complete and timely manner or if the materials provided are false.</p><p>4.6. Party A shall not carry out money laundering, fraud and other illegal transactions through the payment interface provided by Party B, and is required to fulfil its anti-money laundering (AML) obligations (see the relevant agreements in the Annex for details). Once Party A is found to have money laundering, fraud and other behaviours, Party B has the right to stop the transaction at any time, terminate this Agreement, and report to the relevant regulatory authorities and public security, judicial organs. Party B shall not bear any responsibility for Party A&#39;s illegal transactions.</p><p>4.7. Party A shall not carry out any false transactions or use the under cover website or re-direct website to avoid the compliance requirements of Party B or the card scheme or the monitoring of the risk control system. Upon discovery of such actions, Party B has the right to terminate the service at any time, and all the subsequent risks and fines incurred by the regulators and the card scheme shall be borne by Party A, as well as the loss of Party A due to termination of the service by Party B, which Party B shall bear by Party A itself.</p><p>4.8. Party A needs to formulate scientific and reasonable standards for order processing, logistics and delivery time, product quality and customer service. Party A shipments in kind to the customer, need to require the customer to sign for the goods received, and properly retain the signatures and other transaction vouchers, the relevant voucher information should be retained for at least five years, in order to be prepared for Party B or its co-operation with the acquiring bank and other institutions to check and review.</p><p>4.9. Party A can only use Party B&#39;s services for its own and its group companies&#39; real and legal transactions. Without written permission from Party B, Party A and its group shall not use the Payment Network Service for websites other than those declared at the time of access or APPs and applets or other businesses other than those agreed upon, and shall not extend the Payment Network Service or equipment directly or in disguise for use by any third party other than Party A. If Party A violates this provision, Party B shall have the right to immediately stop providing services to Party A, restrict the settlement out of Party A&#39;s transaction money, impose a fine, and Party A shall compensate for all the losses caused.</p><p>4.10. Party A shall not commit any act that damages the Card Scheme&#39;s brand or infringes the Card Scheme&#39;s intellectual property rights. If Party A violates this Agreement, Party B has the right to terminate the provision of all services immediately, and Party A shall be solely responsible for all infringement.</p><p>4.11. Party A shall comply with the tax obligations of the country where the sales are made, and Party A shall not refuse to fulfil its tax obligations if there are clear legal provisions in the relevant countries that require Party B or Party B&#39;s affiliates to withhold or pay the tax on behalf of Party B. Otherwise, Party B has the right to terminate the service within 5 working days and reserves the right to recover the local tax from Party B.</p><p>4.12. During the period of cooperation, if the actual settlement amount given by Party B to Party A is wrong due to system failure, manual error, bank&#39;s misoperation, etc., and the settlement is over-settled or under-settled to Party A, both parties agree to return or make up the over-settled or under-settled amount at the first time. If either party refuses to return, the other party has the right to take legal recourse.</p><p>4.13. Both parties reserve the right to recover from the other party all costs incurred by them in realising their rights under this Agreement.</p><p>&nbsp;</p><p><strong>5. Rights and Obligations of Party B</strong></p><p>5.1. Party B reserves the right to adjust the service price under this Agreement and the right of final interpretation. In the cooperation of the upstream channel (acquiring bank or acquiring organisation), prices are adjusted, Party B may adjust the price, Party A did not raise written objections within 20 working days from the date of receipt of Party B&#39;s notification, it is regarded as Party A agrees to perform the adjusted price according to Party B; if Party A explicitly does not accept the adjustment, either party shall have the right to terminate the co-operation within 5 working days.</p><p>5.2. Party A agrees to authorise Party B to monitor Party A&#39;s transactions in real-time for the purpose of this Agreement, in order to prevent possible fraud and chargeback of payment risks. Party B, based on its own grasp and judgement of the transaction risk, in the event that it is found that the transaction may generate fraud, chargeback, money laundering, irregularities and other abnormal transactions, has the right to directly reject the transaction, and also has the right to request Party A to verify the transaction within a specified time before judging whether the transaction is released; Party B shall actively cooperate with Party A when reviewing Party A&#39;s abnormal transactions and ensure that Party B is able to smoothly access Party A&#39;s relevant websites or physical site. At the same time, Party B has the right to decide whether or not to take measures such as suspending the settlement of pending payments, restricting outgoing payments, stopping the provision of services, or terminating this Agreement, depending on the circumstances. Party A agrees that these Terms and Conditions do not expressly or impliedly oblige Party B to prevent the risk of Party A&#39;s transactions, and Party A should prevent the risk of its transactions and bear the loss of fraud.</p><p>5.3. Party B shall process the consumption, refund, chargeback and other types of transactions generated by Party A, and charge the relevant transaction fees. Party B&#39;s system real-time synchronised processing results to inform Party A, Party A has objections and needs feedback within 10 working days, otherwise, it is considered no objection.</p><p>5.4. If Party A has the following circumstances, Party B has the right to take punitive measures against Party A. The punitive measures include fines, restriction of payment, delayed settlement, closure of the channel, and termination of the agreement:</p><p style="text-indent: 2em;">a. Party A&#39;s transaction has to exceed chargeback and fraud, Party B will collect penalties in accordance with the attached agreement;</p><p style="text-indent: 2em;">b. Party A&#39;s transactions for two consecutive months of chargeback rate exceeds the standard, Party B has the right to suspend the service and has the right to require Party A to submit the chargeback, fraudulent transactions within five working days of the transaction vouchers and other relevant evidence materials. After Party B&#39;s review, Party B has the right to decide to continue to provide services to Party A or terminate this Agreement.</p><p style="text-indent: 2em;">c. If there is one transaction involving gambling, drugs, pornography and other violations, on top of the fine imposed by the international card scheme or Party B&#39;s upstream acquirer, a fine of USD 50,000 will be added, and the settlement will be restricted to 180 days, the channel will be closed, and the agreement will be terminated. The illegal transaction can be discovered by Party B through risk control monitoring means or can be discovered and reported by the card scheme or Party B acquirer.</p><p style="text-indent: 2em;">d. For illegal transactions involving intellectual property rights, if one transaction occurs, on the basis of the fine imposed by the international card scheme or Party B&#39;s upstream acquirer, Party B shall impose a fine of USD 25,000 per transaction, and at the same time restrict the settlement of funds to 180 days, and notify Party A of the deadline for rectification, and the issuance of funds shall be allowed to resume only after the rectification has been made in accordance with the law; if two transactions occur, on the basis of the fine imposed by the international card scheme or Party B&#39;s upstream acquirer, Party B shall impose a fine of USD 50,000 per transaction. At the same time, the settlement will be restricted to 180 days, closing the channel and cancellation of the agreement. The illegal transaction can be discovered by Party B through risk control monitoring means, or it can be discovered and reported by a card scheme or Party B acquirer.</p><p style="text-indent: 2em;">e. For the fines and other related costs in the above cases, Party A agrees that Party B will deduct them from Party A&#39;s pending settlement fund or Party A will remit them to Party B&#39;s bank account within three working days after receiving Party B&#39;s notice.</p><p style="text-indent: 2em;">f. If Party A&#39;s chargeback or fraud seriously exceeds the standard and causes a bad influence on Party B or its cooperative acquirer or card scheme, Party A pays the chargeback penalty to Party B in accordance with the penalty standard stipulated in the Annex. If the chargeback penalty is still insufficient to make up for the portion of the penalty that Party B has been fined by the international card scheme and the acquirer, it shall be borne by Party A. However, the apportionment ratio calculated by Party B shall be fair and transparent.</p><p style="text-indent: 2em;">g. Party A recognises that Party B still has the right of recourse to the above fees after the suspension or termination of the cooperation with Party A.</p><p>5.5. Party A agrees that the processing fee under clause 5.3 and the penalty under clause 5.4 above shall be collected by Party B in the following order:</p><p style="text-indent: 2em;">a. Deduction from Party A’s pending settlement transaction amount;</p><p style="text-indent: 2em;">b.Deducted from Party A’s rolling reserve if the amount of the pending settlement transaction is insufficient for the deduction;</p><p style="text-indent: 2em;">c. If the rolling reserve is insufficient for the deduction, Party A shall remit the money to Party B&#39;s designated bank account to make up for the shortfall.</p><p style="text-indent: 2em;">After Party B collects the fines and advances from Party A, it shall provide Party A with the receipt vouchers in compliance with the regulations.</p><p>5.6. Party B has the right to take the following measures which it considers reasonable and necessary, including but not limited to, if Party A has any of the following circumstances:</p><p style="text-indent: 2em;">1) Suspend the provision of services to Party A;</p><p style="text-indent: 2em;">2) Make an additional deposit or restrict the outgoing payment of Party A&#39;s pending settlement;</p><p style="text-indent: 2em;">3) Unilaterally terminate this Agreement without assuming any liability for breach of contract:</p><p style="text-indent: 2em;">a. After the signing of this Agreement, Party B finds that the business content of Party A&#39;s website is inconsistent with the declaration of the incoming documents, the bank&#39;s feedback on the sale of goods in violation of laws and regulations as well as the provisions of the international card scheme and refuses to open an account, terminate the transaction, or Party A&#39;s change in the scope of business that leads to its failure to comply with the requirements of the Party B&#39;s merchant account access;</p><p style="text-indent: 2em;">b. When Party A exists the following situations: 1) chargeback, fraud exceeds the standard for 2 consecutive months and cannot be improved after warning; 2) violation of the agreement; 3) dishonesty (such as the sale of counterfeit and shoddy products) or commercial fraud; 4) abnormal operation, significant changes in its own financial situation and may affect the normal performance of this agreement.</p><p>5.7. After this Agreement comes into effect, Party B will provide appropriate technical consulting services during working hours in China and respond within 24 hours after Party A report the problem.</p><p>5.8. Based on Party B&#39;s provision of the services agreed in this Agreement to Party A, Party A agrees and authorises Party B to disclose Party A&#39;s relevant information to Party B&#39;s upstream partners, card scheme, regulators or other third parties providing services to Party B, provided that Party B is limited to using the relevant data provided by Party A only for the purpose of realising the purposes of this Agreement.</p><p>5.9. Party B is obliged to keep the relevant data obtained in the course of processing Party A&#39;s transactions, and Party B and its employees shall not disclose any sensitive information or data in the course of Party A&#39;s transactions at any time.</p><p>&nbsp;</p><p><strong>6. Security Deposit</strong></p><p>6.1. Party A chooses the form of the security deposit as: 【B】&nbsp;</p><p>A.Fixed deposit; or</p><p>B. Rolling reserve.</p><p>6.2. Fixed deposit: Party A authorises Party B to deduct itself when Part B suffers a risk loss. When the amount of the deposit is lower than the amount agreed in the Annex, Party A shall make up the corresponding amount within 3 working days.</p><p>If this Agreement is terminated without any disputed transactions, Party B shall return the remaining deposit to Party A within 3 working days after 180 days of the termination of cooperation. If the risky or disputed transactions such as chargeback or refund continue to occur within 180 days after the termination of this Agreement, Party B has the right to reserve a portion of the deposit to deal with the chargeback or refund.</p><p>6.3. Rolling reserve: After each successful transaction, Party B withholds the deposit at a certain percentage of the successful transaction amount and automatically releases it to the merchant&#39;s pending account upon expiry. The specific proportion and cycle are agreed upon in the Annex. After the termination of the cooperation and the scheduled release of the revolving deposit to the pending settlement account, the balance of Party B after deducting the amount of chargeback, frauds, refunds, etc. actually occurred will be remitted to Party A on the nearest settlement transfer date (postponed in case of legal holidays), but if there are chargeback or refunds persistently during the deposit period, even after releasing it to the pending settlement account, Party B has the right to respites the settlement.</p><p>6.4. Party B has the right to negotiate with Party A to modify the deduction method, proportion and amount of the above deposit according to the changes in Party A&#39;s trading volume and the degree of risk, etc., and may terminate the cooperation within 5 working days if the two parties fail to reach an agreement. After the cancellation of the cooperation, the fund settlement shall refer to the fund settlement agreement after the termination of the cooperation as agreed in this Agreement.</p><p>6.5. In order to fully guarantee long-term cooperation and honesty, Party C, as the actual controller and person in charge of Party A, will fully uphold the principle of prudence and good faith, and diligently supervise Party A&#39;s performance, and assume unlimited joint and several guarantee liability for Party A&#39;s obligations under the Agreement, with the guarantee period being the longest within the scope of the guarantee law.</p><p>&nbsp;</p><p><strong>7. Chargeback and Retrieval Request</strong></p><p>7.1. Party B has the right to charge Party A a penalty fee as agreed in the Annex in the month following the month in which Party A&#39;s chargeback rate exceeds the standard.</p><p>7.2. Notwithstanding the provisions of Section 7.1, in the event that Party A&#39;s serious over-repudiation results in affecting Party B&#39;s other normal merchants&#39; business, or causes the acquirer or card scheme with which Party B cooperates to terminate its cooperation with Party B, or causes Party B other significant losses, Party B shall have the right to claim from Party A for the losses it has suffered.</p><p>7.3. Party A believes that Party B has a high risk and high Chargeback, and Party B has not made any significant optimization and improvement measures to reduce the Chargeback Rate within one month after being charged a high fine. Party A has the right to stop providing services at its own discretion until Party B takes the aforementioned measures and Party A’s risk control is in the opinion that Party B has no risk.</p><p>7.4. If Party A enters into arbitration or complaint process due to Party B&#39;s application to the card scheme and other institutions for arbitration or complaint of the chargeback, Party A shall bear the arbitration fee, complaint fee and other costs by itself.</p><p>&nbsp;</p><p><strong>8. Refund</strong></p><p>8.1. In the event of out-of-stocks, inability to deliver goods, inability to provide services, cancellation of transactions by clients, high-risk fraudulent Chargeback or suspected high-risk fraudulent Chargeback transactions, etc., and refund processing is required, shall be processed as follows:</p><p style="text-indent: 2em;">a. Party A submits the refund request or related materials within the specified time as required by Party B or the bank;</p><p style="text-indent: 2em;">b. When Party A submits a refund request to Party B, Party B will debit the funds in Party A&#39;s pending account; if the funds in the pending account are insufficient, Party A has to transfer the refunded funds to Party B&#39;s bank account by bank transfer, or Party B has the right to refuse the refund and will not be responsible for it;</p><p>8.2. In order to prevent consumers from cashing out by using false transactions, cancellation of transactions, etc., Party A shall not make refunds offline (e.g., remitting funds into other accounts of the customers or paying cash, etc.), and the refunds must be returned by the original route to the bank card of Party A&#39;s customers at the time of payment, or Party A shall bear the responsibility for the refund itself.</p><p>8.3. When the refund occurs, due to the inconsistency between the time of the refund and the time of the transaction, and the international currency exchange rate is dynamically changing in real-time, Party A and its cardholders may incur a refund exchange gain or loss due to the refund, which shall be borne by Party A and the cardholders themselves.</p><p>8.4. Party B has the right to decide and take the initiative to carry out the refund operation to avoid the risk of a chargeback when Party A has the following circumstances, but Party B has the obligation to notify Party A in advance:</p><p style="text-indent: 2em;">a) When Party B carries out risk anti-fraud detection on the transaction order and considers the transaction to be more suspicious or is alerted by a professional organisation that the chargeback is at high risk and asks Party A to cooperate with the investigation or refund, Party A refuses to cooperate with the investigation or fails to take reasonable action within the time specified by Party B;</p><p style="text-indent: 2em;">b) When Party B judges that Party A&#39;s transaction is fraudulent, substandard, wrong goods, unable to deliver on time, not delivering the goods, or unable to provide the service on time, and Party A refuses to refund or fails to take the initiative to refund within the time specified by Party B after Party B notifies Party A of the refund operation;</p><p style="text-indent: 2em;">c) When the consumer takes the initiative to return the goods for a refund and Party B has no reasonable grounds to refuse;</p><p style="text-indent: 2em;">d) If Party B, based on its own professional judgement, believes that Party A has engaged in transactions that do not fall within the scope of acceptance of card scheme or acquirers or violate international anti-money laundering and anti-terrorist financing laws and regulations, and Party A refuses to refund or fails to refund within the time specified by Party B after Party B notifies Party A of the refund operation;</p><p>&nbsp;</p><p><strong>9. Settlement</strong></p><p>9.1. Party B shall settle the funds to Party A on time according to the agreement.</p><p>9.2. Party B shall calculate the service fee of the software platform according to each transaction, and both parties shall recognise the minor differences due to the rounding of two decimal places.</p><p>9.3. Party A shall verify the correctness and completeness of each settlement from Party B within a reasonable timeframe. If Party A disagrees with the payment settled by Party B to its designated account, it shall endeavour to raise the dispute within 1 month after the transaction(settlement or normal transaction) is closed.</p><p>9.4. All kinds of pending settlement payments and deposits involved in this Agreement shall no longer involve interest.</p><p>9.5. Party A&#39;s settlement bank information is determined based on Party A&#39;s own submission.</p><p>9.6. Both parties shall settle by bank remittance. If Party A changes the settlement account number, Party A shall provide Party B with written notice of the change in a timely manner.</p><p>9.7. If Party A has a large number of customer disputes, investigations by regulatory authorities, transaction risk events and other unsettled matters during the validity period of the Agreement or upon its expiry or early termination, Party B shall have the right to postpone settlement until the above circumstances are eliminated.</p><p>9.8. After the termination of the cooperation between Party A and Party B, if Party A&#39;s transactions have not occurred inconsistent with its historical transaction performance (mainly referring to the chargeback rate and refund rate), Party B will settle the balance of Party A&#39;s pending account to Party A&#39;s agreed bank account upon confirming that Party A has completed the delivery of its goods or services, and the deposit account will be settled to Party A after the expiry of the deposit period.</p><p>9.9. If Party A engages in transactions within the scope of business not accepted by the card scheme and other units (including but not limited to betting, pornography, gambling, drugs, knives, guns and firearms, money laundering transactions, etc.), Party B has the right to withhold settlement, and immediately stop providing the services and terminate the cooperation between the two parties.</p><p>9.10. Before Party B receives the settlement payment, Party B will advance the payment to Party A for settlement at its own discretion, depending on the situation, for the purpose of improving customer experience and other commercial purposes. Party A hereby confirms and agrees that the aforesaid advance payment from Party B shall be deemed to be a loan from Party A to Party B. If there is any agreement between the two parties on the interest rate, it shall be dealt with in accordance with the agreement, and if there is no agreement, it shall be deemed to be interest-free. After Party B receives the settlement, the settlement will be automatically used to return the above advance payment; if Party B eventually fails to receive the settlement payment, Party A shall be obliged to return the above advance payment to Party B upon Party B&#39;s request, otherwise, for each day of delay, Party A shall pay a default penalty of 0.05% per day on the basis of the unreturned advances.</p><p>9.11. In the event of any of the following circumstances including but not limited to the following, and when our pending settlement funds are already negative, Party B shall be entitled to claim back or recover the relevant amount from us:</p><p style="text-indent: 2em;">a. When the cardholder raises a chargeback, or the amount is refunded or when the card issuer refunds the card;</p><p style="text-indent: 2em;">b.When Party A violates the relevant regulations of the state, international card scheme, banks and acquirers in the course of business activities, resulting in fines or charges imposed on Party B by the relevant authorities;</p><p style="text-indent: 2em;">c. Fines imposed on Party B by Party B&#39;s acquirer as a result of the amount or ratio of risky transactions incurred by Party A exceeding the threshold regulations of the card scheme.Party B shall notify Party A in writing of the corresponding situation within 3 working days after suspension of settlement, restriction of outgoing payment and other operations on Party A&#39;s pending settlement amount.</p><p>9.12.&nbsp; Party B shall notify Party A in writing of the corresponding situation within 3 working days after suspension of settlement, restriction of settlement and other operations on Party A&#39;s pending settlement amount.</p><p>9.13.&nbsp; Party A and Party B shall pay taxes in accordance with the law and each of them shall bear the taxes and fees required to be paid for the business under this Agreement.</p><p>&nbsp;</p><p><strong>10. Proprietary Information and Confidentiality</strong></p><p>10.1. Party A has the ownership and intellectual property rights of the content of the network services provided by Party A. The ownership of Party A&#39;s web-based services content includes but is not limited to:</p><p style="text-indent: 2em;">a. All content in text, software, sound, images, videos, graphics, logos, advertisements;</p><p style="text-indent: 2em;">b. The entire content of the email, data and information provided by Party B for Party A or Party A&#39;s customers；</p><p style="text-indent: 2em;">c. All copyrights, trademarks, labels and other property rights and interests based on the above content.</p><p>10.2. The ownership and intellectual property rights of all content involving information and materials provided by Party A itself shall be enjoyed by Party A during the performance of the contract.</p><p>10.3. The information obtained by both parties during the cooperation period and the contents of this Agreement are confidential information. Confidential information includes but is not limited to:</p><p style="text-indent: 2em;">a. The business model and products of both parties;</p><p style="text-indent: 2em;">b. System interface documents, security agreements and qualification certificates;</p><p style="text-indent: 2em;">c. Other business information of the other party&#39;s operation, running memory transactions and other business information known due to the signing of this Agreement.</p><p>10.4. Party A and all of its employees (including all employees who have direct or indirect access to the bank card information and information of customers who pay by electronic payment) must keep confidential the bank card information of the customer they know. Do not disclose the customer&#39;s bank card information or use the customer&#39;s bank card information to engage in illegal transactions such as stolen cards and counterfeiting. If the cardholder suffers losses due to the above situation, the responsible party shall bear the responsibility according to law.</p><p>10.5. Both Party A and Party B have the same confidentiality obligations for the confidential information of the terms of this Agreement (including attachments and supplemental agreements), technical information, and business information. During the negotiation, the conclusion of this Agreement, during the term of this Agreement and at any time after the termination of this Agreement, neither party may disclose confidential information to any third party without the prior written consent of the other party; otherwise, the party shall bear the legal liability.</p><p>10.6. If one of the parties violates the above agreement during or after the performance of this agreement, the other party has the right to claim that the other party stops the infringement and can claim liquidated damages and compensation from the other party and also has the right to unilaterally terminate this agreement.</p><p>10.7. The duty of confidentiality under this Agreement shall not be invalid due to invalidity, early termination, cancellation or non-operationality of this Agreement.</p><p>&nbsp;</p><p><strong>11. Term and Termination</strong></p><p>11.1. This Agreement shall take effect from the moment Party A clicks to register and use UseePay&#39;s services, and shall be terminated on the date of cancellation by one of the parties or the completion of the settlement of fees.</p><p>11.2. Within 30 days before the expiration of the term of this Agreement, both parties shall consult on whether to renew the Agreement; if neither party has expressed in writing the intention to terminate this Agreement on the date of expiration of the term of this Agreement, and Party A continues to use UseePay&#39;s services, this Agreement shall be deemed to be automatically renewed for another two years, and this Agreement shall continue to be renewed in this way in the future.</p><p>11.3.&nbsp; During the effective period of this Agreement, if the business name of Party A and Party B changes, both parties shall submit to the other party the notification of the name change and the information about the approval of the name change by the Industry and Commerce Bureau and other governmental departments within fifteen working days after the change of the name and the situation shall not affect the performance of this Agreement.</p><p>11.4. This Agreement shall not be cancelled except by mutual written consensus of both parties and under the circumstances stipulated in Article 11.5 of this Agreement;</p><p style="text-indent: 2em;">11.5. Party B may unilaterally and immediately terminate the agreement and stop the service if Party A has any of the following circumstances, and Party B shall have the right to recover the losses caused as a result:</p><p style="text-indent: 2em;">a) Party A uses the payment platform provided by Party B to carry out money laundering, fraud, theft and other illegal acts, or violates the relevant laws and regulations, provisions of the international card scheme and Party B&#39;s merchant access requirements in the transaction; or Party A provides untruthful proof of identity, business registration information, administrative licenses, business scope;</p><p style="text-indent: 2em;">b) Party A does not deliver the goods or provide the services to the consumers after the successful transactions occur through Party B&#39;s payment platform; or Party A has or may have many transaction disputes or high transaction risks in the transaction, which cannot be resolved through mutual consultation; or Party A fails to deal with the customer complaints in a timely and proper manner to cause reputational damage to Party B;</p><p style="text-indent: 2em;">c) The judicial authorities, financial regulators, card issuers and other relevant administrative and regulatory authorities issue a written notice requesting termination or termination of payment and settlement to Party A; or Party B notifies Party A in advance in writing according to the high-risk notices or merchant closure notices from upstream acquirers or banks or international card scheme;</p><p style="text-indent: 2em;">d) Unreasonable use of the payment services provided by Party B to Party A, including but not limited to failure to truthfully describe Party B&#39;s payment obligations on its website, or Party A&#39;s use of technical or illegal means to intercept consumers&#39; bank card information;</p><p style="text-indent: 2em;">e) Party A violates the law in the transaction and infringes the intellectual property rights of others, including but not limited to counterfeiting, selling goods with counterfeit registered trademarks, manufacturing or selling illegally manufactured trademark labels, manufacturing or selling infringing copies, manufacturing or selling manufactured counterfeit patented products, as well as manufacturing or selling goods infringing on the trade secrets of others;</p><p style="text-indent: 2em;">f) Party A shall not adopt any means to intercept sensitive information (including but not limited to bank card and corporate bank account information) that consumers must enter into Party B through the use of Party B&#39;s e-payment services, and shall not submit orders or issue any instructions on behalf of other users or partners.</p><p style="text-indent: 2em;">g) Party B has the right to terminate the business cooperation with Party A if Party B is required to stop the payment service due to the cooperating acquiring bank or institution or state organ.</p><p>11.6. In the event of early cancellation or termination of this Agreement, the technical docking fee and annual technical service fee paid by Party A shall not be refunded, and the return and deduction of the security deposit shall still be carried out in accordance with this Agreement.</p><p>11.7. If this Agreement is not renewed upon expiry of the term or terminated prematurely as agreed, the refund, chargeback and other transaction deductions shall still be borne by Party A. If Party A&#39;s unsettled payment is insufficient to offset the chargeback or refund, Party A shall pay the corresponding amount to Party B within 7 days upon receipt of Party B&#39;s notice, otherwise, for every day of overdue payment, Party A shall pay a default penalty of 0.3% per day on the basis of the unreturned amount.</p><p>11.8. Party A agrees that, upon termination of this Agreement, if Party A&#39;s relevant payment obligations under this Agreement have not yet been fulfilled or there are other potential transaction risks, Party B shall have the right to decide to delay the settlement based on its own risk judgement or the instruction of the Card Scheme, etc., until Party A has fulfilled all the payment obligations arising from this Agreement or the potential transaction risks have been eliminated.</p><p>&nbsp;</p><p><strong>12. Breach of Contract and limitation of liability</strong></p><p>12.1. If one party causes losses to the other party in violation of this agreement, the other party has the right to request damages.</p><p>12.2. Due to Party B, consumers or users, banks or other partners, telecommunications, network, equipment and power supply failures, force majeure or other reasons other than Party A, cause Party A&#39;s payment products may not operate normally or Party A may not perform the obligations stipulated in this Agreement in time, Party A shall not bear the relevant laws and compensation liabilities; Party B shall ensure that Party A is exempted from third party litigation or compensation claims that are not caused by Party A’s reasons.</p><p>12.3. The services provided by Party B to Party A&#39;s consumers, users or third parties under this Agreement are the fulfilment of Party B&#39;s obligations to Party A and do not constitute any commitment to Party A&#39;s consumers, users or third parties, and Party A&#39;s consumers, users or third parties do not have any direct claim against Party B as a result.</p><p>12.4. Part B, as a payment network service provider, shall not be liable for indirect losses such as potential business opportunities for Part A in any circumstances involved in the performance of this Agreement.</p><p>12.5. In the event that Party B intentionally or grossly negligently causes loss to Party A, Party B shall be required to compensate for the direct loss caused by such negligence.</p><p>&nbsp;</p><p><strong>13. Force Majeure</strong></p><p>13.1. “Force Majeure” as used in this Agreement means an objective situation that occurs after the signing of this Agreement, which cannot be foreseen, cannot be avoided, and cannot be overcome. Including but not limited to floods, fires, droughts, typhoons, earthquakes and other natural disasters, strikes, riots, riots and wars (whether declared or not) and acts or omissions of government departments.</p><p>13.2.&nbsp; In view of the special characteristics of the network, force majeure under this Agreement also includes but is not limited to, malicious attacks by hackers, the invasion and onset of computer viruses that cannot be prevented by the existing normal security means, outbreaks of large-scale new types of viruses, power failures or governmental restriction of power supply, and other external reasons such as power failure and other circumstances affecting the normal operation of the network.</p><p>13.3. A party may be partially or totally exempt from fulfilling its obligations because it cannot be performed or cannot fully perform this Agreement due to force majeure.</p><p>13.4. After the occurrence of force majeure, both parties shall make every effort to eliminate or reduce the adverse effects and may negotiate the continuation of the performance or termination of this Agreement.</p><p>&nbsp;</p><p><strong>14. Applicability and Jurisdiction</strong></p><p>14.1. The definition, interpretation, performance and validity of this Agreement and the Annexes shall be governed by the laws of the People&#39;s Republic of China, and the place of performance of this Agreement shall be mainland China.</p><p>14.2. Party A and Party B shall resolve disputes arising in the course of the performance of this Agreement by way of friendly negotiation, and if the dispute cannot be resolved through negotiation, either party may file a lawsuit with the People&#39;s Court of Shanghai Pudong New Area.</p><p>14.3. After the signing of this Agreement, the newly implemented laws and regulations shall not have a retrospective effect on this Agreement, except for the newly implemented laws and regulations which have made explicit provisions. In the event that some or all of the provisions of this Agreement are invalid or unenforceable due to changes in national laws, regulations and regulatory policies after the signing of the Agreement, both parties may amend or supplement this Agreement in accordance with the changes in relevant laws and regulations. If both parties fail to reach an agreement on modification or supplementation, neither party shall be in breach of contract.<br/><br/></p><p><strong>15. The Validity of the Agreement</strong></p><p>15.1. This Agreement shall come into effect once registered by Party A, and shall have the same legal effect as the paper agreement; for anything not covered in the Agreement, both parties may make a supplementary agreement in writing, which shall have the same legal effect as this Agreement, and in case of any inconsistency between the supplementary agreement and this Agreement, the agreement of the supplementary agreement shall prevail. Any supplement and modification of this Agreement can only be carried out by written documents signed by both parties.</p><p>15.2. The annexes to this Agreement and the Supplemental Agreement are integral parts of this Agreement and have the same legal effect as this Agreement. The registration of Party A is also regarded as the approval of the annexes and supplementary agreements.<br/></p><p><br/></p><p><strong>Annex 1</strong></p><p>Anti-Money Laundering Agreement</p><p>In accordance with the Criminal Law of the People&#39;s Republic of China and the Anti-Money Laundering Law of the People&#39;s Republic of China, as well as the anti-money laundering laws and regulations of Hong Kong, Party A and Party B shall, after friendly negotiation, jointly abide by the following agreement.</p><p>1. 1, Both Party A and Party B are aware of and willing to abide by the relevant laws and regulations of the People&#39;s Republic of China and Hong Kong on anti-money laundering, and understand that any form of money laundering will be in violation of the law and will be severely punished by the law, therefore, both parties have agreed to strictly abide by the relevant laws and regulations on anti-money laundering.</p><p>2. The two parties promised that their funds are legal and safe self-owned funds, and there are no illegal business operations such as dishonest business operations, fraudulent client funds, theft, fraud, drug trafficking, illegal acts of criminal organizations, bribery, misappropriation of company property, etc. There is no money laundering behaviour through the commercial platforms of both sides to cover up the illegal sources of funds and obtain illegal gains.</p><p>3.
